Please Read These Terms Carefully
These Terms of Use (the “Terms”) govern your use of and access to www.ameadvice.com and its affiliated sites, as well as AME Consulting, LLC and AME Legal, LLC (collectively “AME”) pages and social accounts, if any (collectively the “Sites), and the agreement that operates between you and AME. Please read both these Terms and AME's Privacy Policy carefully, which is incorporated into these Terms. These Terms set out the rights and obligations of all users regarding the use of the Sites. The Privacy Policy describes AME's policies and procedures on the collection, use, and disclosure of your personal information. By accessing and/or using any or all of the Sites, you accept and agree to be bound by and comply with these Terms and the Privacy Policy. If you disagree with any part of these Terms or the Privacy Policy, do not use the Sites. You represent you are over the age of 18. AME does not permit those under 18 to use the Sites without parental or guardian consent.
Changes to this Privacy Policy
AME may update these Terms from time to time, at AME's sole discretion, and any modifications will be effective immediately when AME posts them. The date of last modification will be noted at the top of the Privacy Policy. You are advised to review these Terms periodically for any changes. Your continued use of a Site following any changes means you accept and agree to any changes.
Site Content
AME owns and controls the Sites, which provide information about AME's services and may, from time to time, provide access to blog posts, news articles, and/or educational materials pertaining to topics of interest, which may be business, legal, or personal in nature. You agree that use of or access to any or all of the Sites does not create any sort of representation or future promise. The unauthorized use, reproduction, or distribution of any content, regardless of form, from the Sites is expressly prohibited.
Intellectual Property
Unless directly and expressly stated otherwise, as between you and AME, AME owns all right, title and interest in and to the Sites and the content contained thereon and therein, including, without limitation, photographs, graphics, marks, logos, site content, design, organization, compilation and other matters related to or included on the Sites. AME Consulting, LLC and AME Legal, LLC and all related names, product and service names and marks, logos, slogans, trademarks, and designs are AME’s intellectual property and you may not use these marks, content, or information without AME's prior express written permission in each instance. You are granted a non-exclusive, non-transferable, non-sublicensable, limited, revocable license to access and use the Sites and the resources available for download from the Sites strictly in accordance with these Terms and any terms made available by third parties for such Sites.
Third Party Rights
The Sites may include links to third party websites or services that are not owned or controlled by AME, or otherwise may contain content and materials posted to the Sites may be the copyrighted content and/or intellectual property of others (“Third Party Content”) that is used by AME either with permission or under Section 107 of the Copyright Act as “fair use” for purposes such as education and research. Users must obtain permission from the owners of any Third-Party Content before copying, distributing, reproducing or otherwise using such information or materials. Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication, or commercial exploitation of downloaded material will be permitted without the express permission of the copyright owner. You acknowledge AME has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party sites or services. You further acknowledge and agree that AME shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services of any third party. Linking to the Sites
Anyone linking to the Sites must comply with all applicable laws and must not: (1) misrepresent its relationship with AME; (2) present derogatory, false or misleading information about AME; or (3) contain content that is reasonably considered profanity, offensive, defamatory, vulgar, or unlawful.
Advertisements and Links
Advertisements may be included on the Sites. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Sites are solely between you and such advertiser. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by advertisers, including information providers, or any other end users are those of the respective author(s) and not the Company’s own. You agree that the Company shall not be responsible or liable for any loss or damage of any sort incurred as a result of any such dealings or as the result of the presence of such advertisers.

These links are provided solely as a convenience to you and not as an endorsement by the Company of the contents on such third-party sites, and the Company expressly disclaims any representations regarding the content or accuracy of materials on such third-party websites. By accessing the Sites, you are requesting information. The information you are requesting is not legal advice, advertising, or solicitation. Transmission and receipt of the materials on the Sites does not constitute legal advice, establish an attorney-client relationship, or create any duty of AME to any reader or user. An attorney-client relationship with AME may only be established by an engagement letter signed by AME and the user. Unsolicited information sent to AME by persons who are not clients is not subject to any duty of confidentiality of the part of AME.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES WHATSOEVER ARISING OUT OF THE USE OF OR INABILITY TO ACCESS OR USE THE SITES AND/OR SERVICES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, LOST PROFITS, LOSS OF DATA OR OTHER INFORMATION, LOSS OF PRIVACY, WORK DISRUPTIONS, PERSONAL INJURY, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER PERSONAL OR COMMERCIAL DAMAGES OR LOSSES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. Some jurisdictions do not allow the exclusion of certain types of warranties and/or limitations of liability set forth in the Disclaimer and Limitation of Liability sections above, so some of the above exclusions and limitations may not apply to you. In such case, the exclusions and limitations set forth in these sections shall apply, and the Released Parties liability will be limited, to the greatest extent permissible and enforceable under applicable law.
Choice of Law and Venue
These Terms are governed by the laws of the State of Minnesota without regard to any conflict of laws. If you have any concern or dispute about the Sites or services, you agree to first try to resolve such disputes informally by contacting AME. For any dispute regarding these Terms or the Sites not otherwise resolved by the parties, you agree to submit to the personal and exclusive jurisdiction and venue of the federal and state courts located in Hennepin County, Minnesota. Failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or of the right to enforce such provision in the future.
Termination
AME may terminate or suspend your access to or use of all or any number of the Sites at any time, immediately and without prior notice or liability of any kind, for any reason whatsoever, including without limitation if you breach these Terms. Upon such termination, any right to the use of the Sites or any services will cease immediately.
